Please read these terms carefully before using our services

Welcome to PARennial Golf. These Terms of Service ("Terms") govern your access to and use of PARennial Golf's services, including our mobile application, website, facilities, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

PARennial Golf ("we," "us," or "our") operates 24/7 self-service indoor golf facilities featuring Trackman golf simulators. These Terms, together with our Privacy Policy and Cancellation & Refund Policy, constitute the complete agreement between you and PARennial Golf.

1. Eligibility

To use our Services, you must:

Be at least eighteen (18) years of age or the age of majority in your jurisdiction.
Have the legal capacity to enter into a binding agreement.
Not be prohibited from using our Services under applicable law.
Provide accurate and complete registration information.

Minors under 18 may use our facilities only when accompanied by a parent or legal guardian who has an active membership and accepts full responsibility for the minor's conduct and safety.

2. Account Registration & Security

To access certain features of our Services, you must create an account. When creating an account, you agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your login credentials confidential and secure.
Notify us immediately of any unauthorized access to your account.
Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or pose a security risk.

3. Membership Plans & Subscriptions

PARennial Golf offers various membership plans, including but not limited to:

Unlimited Membership: 24/7 facility access with advance booking privileges.
Basic Membership: Monthly subscription with reduced hourly rates.
Public Membership: Pay-as-you-go access without monthly fees.
Committed Memberships: Fixed-term commitments with discounted rates, subject to a separate Membership Commitment Agreement.

Membership benefits, pricing, and availability are subject to change. Current pricing and terms are available at parennialgolf.com/memberships. Changes to your membership plan will be communicated via email and/or in-app notification.

4. Billing & Payment

By providing a payment method, you authorize us to charge that payment method for:

Recurring membership fees according to your billing cycle.
Hourly usage fees, booking fees, and other service charges.
Applicable taxes, surcharges, and fees.
Any outstanding balances or fees owed under these Terms or any Membership Agreement.

Automatic Renewal: Unless you cancel before your renewal date, your membership will automatically renew at the then-current rate. You will be charged on the same day each billing period (monthly or annually, as applicable).

Failed Payments: If a payment fails, we may retry the charge, suspend your membership access, and/or terminate your account. You remain responsible for any uncollected amounts.

Price Changes: We reserve the right to change membership pricing upon thirty (30) days' prior written notice. Continued use of your membership after such notice constitutes acceptance of the new pricing.

5. Cancellation & Refunds

Cancellation and refund terms vary by membership type and are governed by our Cancellation & Refund Policy, which is incorporated herein by reference. Key provisions include:

Initial Purchases: All initial membership purchases are final. No refunds or credits will be provided.
Month-to-Month: Cancel anytime; 48-hour renewal grace period for credits.
Annual: Cancel anytime; 48-hour renewal grace period for refunds (minus $250 fee).
Committed Memberships: Early termination requires payment of 60% of the remaining balance.

To cancel, use the membership settings in the PARennial Golf mobile app. Cancellations must be submitted through the app; we do not accept cancellation requests via email, phone, or other channels.

6. Facility Rules & Conduct

When using our facilities, you agree to:

Follow all posted rules, instructions, and safety guidelines.
Use equipment properly and report any damage or malfunction immediately.
Treat staff, other members, and property with respect.
Not bring outside food or beverages except as permitted.
Not smoke, vape, or use illegal substances on the premises.
Not engage in any illegal, dangerous, or disruptive behavior.
Not share access credentials or allow unauthorized persons to enter.
Vacate the bay promptly at the end of your booked session.

Violation of facility rules may result in immediate removal, suspension, or termination of your membership without refund.

7. Bookings & Sessions

Booking availability and advance booking windows vary by membership tier. When making a booking:

Bookings are subject to availability and may be modified or cancelled by us due to maintenance, emergencies, or other operational needs.
You must check in via the mobile app to start your session. Failure to check in within 15 minutes may result in cancellation of your booking.
Sessions not associated with a booking may be subject to displacement if a booking begins.
You are responsible for charges incurred during your session, including any overage fees.

8. Assumption of Risk & Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Medical Disclaimer: Golf and physical activity involve exertion that may be strenuous. You represent that you are physically fit and have no medical condition that would prevent your safe participation in golf or use of our facilities. You are solely responsible for determining your own physical fitness and consulting with a physician before engaging in any physical activity at our facilities. PARennial Golf is not a medical provider and makes no representations regarding the health benefits or risks of any activity.

Inherent Risks: Golf and use of golf simulators involve inherent risks, including but not limited to: physical injury from swinging clubs, being struck by balls or equipment, slips and falls, equipment malfunction, repetitive motion injuries, and overexertion. By using our Services and facilities, you:

Acknowledge that you understand and voluntarily assume all risks associated with using our facilities and equipment, whether known or unknown, inherent or otherwise.
Agree to release, waive, and discharge PARennial Golf, its owners, officers, directors, employees, agents, contractors, and affiliates from any and all claims, liabilities, demands, actions, or causes of action arising from your use of our Services, except to the extent caused by our gross negligence or willful misconduct.
Agree to indemnify and hold harmless PARennial Golf from any claims brought by third parties arising from your use of our facilities, including claims by guests or minors under your supervision.

This waiver and release is intended to be as broad and inclusive as permitted by the laws of the State of Illinois. If any portion is held invalid, the remainder shall continue in full force and effect.

9. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our Services are owned by or licensed to PARennial Golf. You may not:

Copy, modify, distribute, or create derivative works from our content without express written permission.
Use our trademarks or branding without authorization.
Reverse engineer, decompile, or attempt to extract source code from our applications.
Use automated systems (bots, scrapers) to access our Services.

"PARennial Golf," "PARennial," and associated logos are trademarks of PARennial Golf. "Trackman" is a trademark of Trackman A/S and is used under license or fair use.

10. Privacy & Data

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy, including the use of cookies and similar technologies.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, SERVICES, OR LINKS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARENNIAL GOLF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.
ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless PARennial Golf and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of or access to our Services.
Your violation of these Terms.
Your violation of any third-party rights, including intellectual property rights.
Any claim that your actions caused damage to a third party.

14. Termination

We may suspend or terminate your account and access to our Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

Violation of these Terms or any applicable policies.
Conduct that is harmful to other members, staff, or our business.
Fraudulent, illegal, or unauthorized activity.
Non-payment of fees owed.
Request by law enforcement or government agency.

Upon termination, your right to use our Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue therein.

Informal Resolution: Before filing any legal claim, you agree to contact us at play@parennialgolf.com and attempt to resolve the dispute informally for at least thirty (30) days.

Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against PARennial Golf. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be null and void.

16. Electronic Communications & Notices

By using our Services, you consent to receive communications from us electronically, including via email, push notifications, SMS, and in-app messages. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Update the "Effective Date" at the top of this page.
Provide notice via email and/or in-app notification at least seven (7) days before changes take effect (except for changes required by law, which may be effective immediately).
Post the updated Terms on our website.

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services and cancel your membership.

18. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between you and PARennial Golf.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
Headings: Section headings are for convenience only and have no legal effect.
